These Terms and Conditions and our Privacy Policy will immediately terminate upon you breaching any of the obligations in any of these agreements. Hey Offer reserves the right to any other remedies available under law in the event that you breach any of the obligations under these Terms and Conditions and our Privacy Policy and adversely affects Hey Offer in any way.

YOU AND THE ENTITY/INDIVIDUAL YOU REPRESENT (IF APPLICABLE) ARE NOT CONNECTED OR RELATED WITH ANY PERSON OR ORGANIZATION RELATED TO DRUG TRAFFICKING OR MONEY LAUNDERING; AND/OR DESIGNATED AS A TERRORIST OR TERRORIST ORGANIZATION BY THE U.S GOVERNMENT, AND/OR THE GOVERMENT OF ANY COUNTRY OR BY ANY INTERNATIONAL ORGANIZATION;

1. 8.13.HEY OFFER WILL BE HELD LIABLE SHOULD IT FAIL TO COMPLY WITH THESE TERMS AND CONDITIONS AND/OR OUR PRIVACY POLICY CAUSING ANY LOSS OR DAMAGE TO YOU, THAT WAS FORESEEABLE, AND AS A RESULT OF OUR BREACH TO THESE TERMS AND CONDITIONS AND/OR OUR PRIVACY POLICY. HOWEVER, HEY OFFER WILL NOT BE HELD LIABLE FOR ANY LOSS OR DAMAGE TO YOU THAT WAS NOT FORESEEABLE. If Hey Offer is prevented from carrying out its obligations under these Terms and Conditions and/or its Privacy Policy as a result of any cause beyond its reasonable control, including but not limited to unavailability, interruptions, loss or malfunctions of internet services and/or any communication system;  virus attack, breach, sabotage in our technological systems;  acts of God; acts of war or terrorism, civil or military disturbances; natural catastrophes; strikes; floods, tornados, failure of service providers; failures or malfunctions of devices and/or software and/or hardware; epidemics or pandemics, lockdown or quarantine measures; acts of government; and/or asimilar events, then in such an event, Hey Offer shall be relieved from its obligations and liabilities under these Terms and Conditions and our Privacy Policy as such fulfillment of its obligations is prevented.

Hey Offer´s failure to insist upon strict performance of any provision of these Terms and Conditions and its Privacy Policy shall not be deemed to be a waiver of its rights or remedies in respect of any present or future default of your performance or compliance with these agreements.

1. 19.Entirety

These Terms and Conditions and our Privacy Policy, constitute the entire agreement between Hey Offer and you, and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. These Terms and Conditions and our Privacy Policy supersedes and replaces any other agreement that you have previously entered into with respect to our Services.

If such resolution is not reached within a period of thirty (30) continuous days, then, upon notice by either party to the other, such dispute shall be submitted to the exclusive jurisdiction of the Courts referred in Section 24 below.

1. 24.Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws in force in the Commonwealth of Pennsylvania and the applicable federal laws in the United States of America, without regard to conflict of laws provisions.

The Parties agree to exercise the personal jurisdiction of the Courts located in Allentown, County of Lehigh, Commonwealth of Pennsylvania, United States of America.
